Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by ArdaBot, Inc. (“ArdaBot,” “we,” “us,” or “our”), a Delaware C corporation, including our website at ardabot.ai, mobile application, command-line interface, and any related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account Registration

To use the Service, you must create an account by providing a valid phone number, email address, or other supported authentication method. You are responsible for:

• Maintaining the security of your account credentials and API keys.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. The Service

ArdaBot provides AI-powered agent instances that run in isolated cloud environments. Your agent can be accessed via web, mobile app, SMS, Telegram, and command-line interface. Each agent instance runs in its own dedicated pod (container) with persistent storage and computer shell access.

a. Pod Environment

Each user is provisioned a private pod with shell access. You have administrative control over your pod environment, including the ability to install software, store files, and execute commands through your AI agent. You are solely responsible for all activity that occurs within your pod, including any data you store, software you install, and commands you execute or instruct your agent to execute.

b. User Responsibility for Pod Content

Any information, data, files, or credentials you provide to your AI agent or store in your pod is provided at your own risk. You should not provide sensitive information (such as passwords, financial data, or confidential business information) to your agent unless you understand and accept the risks, including that such information may be processed by third-party AI providers (see Section 6).

c. Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. Billing and Payments

a. Credits and Pricing

The Service operates on a credit-based system. New accounts may receive trial credits. Additional credits can be purchased through the Service. Credit balances are non-refundable except as required by law.

b. Subscriptions

Paid subscription tiers provide additional credits and higher usage limits. Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time, but no refunds will be issued for the current billing period.

c. Promotional Codes

Promotional codes may be offered at our discretion and are subject to specific terms and redemption limits. Promo codes have no cash value and cannot be combined unless expressly permitted.

d. Auto-Hibernation

To conserve resources, inactive agent instances may be automatically hibernated based on your subscription tier and activity level. Hibernated instances can be reactivated by sending a message to your agent.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Generate, store, or transmit illegal, harmful, or abusive content.
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
• Interfere with or disrupt the Service or its underlying infrastructure.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to develop a competing product or service.
• Circumvent rate limits, billing mechanisms, or usage restrictions.
• Share your API keys or account credentials with unauthorized third parties.
• Use the Service for automated scraping, spamming, or bulk messaging.

We reserve the right to suspend or terminate your access for violations of this policy, at our sole discretion.

6. Intellectual Property

a. Our Property

The Service, including its software, design, branding, and documentation, is owned by ArdaBot and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

b. Your Content

You retain ownership of the content you provide to the Service, including messages and data stored in your agent instance. By using the Service, you grant us a limited license to process your content solely to provide and improve the Service.

c. AI-Generated Output

Output generated by your AI agent is provided “as is.” You are responsible for reviewing and using AI-generated output. We do not claim ownership of AI-generated output, but we make no warranties regarding its accuracy, completeness, or fitness for any purpose.

7. Third-Party AI Providers

The Service relies on third-party artificial intelligence providers (including Anthropic and Vercel) to power your AI agent. You acknowledge and agree that:

• ArdaBot does not control the behavior, outputs, or capabilities of upstream AI models and is not responsible for the accuracy, reliability, or appropriateness of AI-generated content.
• Messages and data you send to your AI agent may be transmitted to third-party AI providers for processing. These providers have their own terms of service and privacy policies that govern their handling of your data.
• Third-party AI providers may change, restrict, or discontinue their services at any time, which may affect the availability or functionality of the Service.
• ArdaBot has limited ability to restrict or control what actions your AI agent takes within your pod environment. You are responsible for reviewing and overseeing your agent’s actions.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. AI agent output may be inaccurate, incomplete, or inappropriate. You are solely responsible for evaluating and relying on any output from the Service.

ArdaBot does not control the underlying AI models provided by third-party providers and makes no representations or warranties regarding their outputs, safety, or availability. ArdaBot has limited control over and limited ability to impose restrictions on what can be done within your pod environment. You acknowledge that your pod provides shell access and that you bear full responsibility for any actions taken within it, whether initiated by you or by your AI agent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARDABOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless ArdaBot and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new effective date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ArdaBot regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
